1. Purpose
This Disclaimer outlines the risks associated with using Simplytao Inc. Services within the Bittensor ecosystem, including trading and staking services. It should be read in conjunction with the Terms of Service and Privacy Policy. You are responsible for understanding these risks before engaging with the Services.
2. No Personal Advice
Simplytao Inc. does not provide investment, financial, tax, or legal advice. Any information provided about transactions, staking, risks, or procedures is factual and not tailored to your personal circumstances. You are solely responsible for determining the suitability of any transaction, staking activity, or investment strategy based on your objectives, financial situation, and risk tolerance.
3. No Fiduciary Duty
Simplytao Inc. is not your broker, intermediary, agent, or advisor and has no fiduciary relationship or obligation to you. We do not monitor your use of the Services to ensure alignment with your financial goals or risk appetite.
4. Tax and Regulatory Compliance
4.1
The tax treatment of digital assets, including subnet tokens and staking rewards, is uncertain and varies by jurisdiction. You are responsible for determining and reporting any tax obligations arising from your use of the Services, including taxes on staking rewards.
4.2
Simplytao Inc. may report transaction information to tax or regulatory authorities as required by applicable law, including Panama’s Law No. 23 of 2015. We may also withhold taxes where required.
4.3
You may be required to provide additional tax-related information or documentation. Failure to comply may result in tax withholding or account restrictions.

Consult a qualified tax or legal professional regarding your obligations.
5. Market and Liquidity Risks
5.1 Market Risk
Subnet token trading is subject to high volatility, and prices may fluctuate significantly without warning. Past performance is not indicative of future results, and you may lose your entire investment.
5.2 Liquidity Risk
Subnet tokens may have limited liquidity, making it difficult or impossible to sell or exit positions at desired times. Staked tokens are subject to lock-up or unbonding periods during which they cannot be traded, transferred, or withdrawn, which may prevent you from exiting positions during market volatility.
6. Technological Risks
6.1
Subnet token transactions and staking operations are subject to risks inherent to blockchain technology, including faults, hacks, exploits, or protocol failures in the Bittensor network or related technologies, irreversible transactions where losses due to fraud or errors may not be recoverable, obsolescence due to technological advancements, delays in transaction settlement or reward distribution, and attacks such as distributed denial of service, phishing, or consensus-based attacks.
6.2
Staking operations depend on validator node infrastructure, which may experience technical failures, downtime, or performance issues that affect reward generation. Protocol upgrades or changes may temporarily or permanently affect staking functionality, rewards, or lock-up periods.
6.3
Simplytao Inc. does not control the Bittensor blockchain or validator infrastructure and is not liable for their performance or security.
7. Security Risks
7.1
You are responsible for securing your account credentials, including passwords and 2FA. Simplytao Inc. is not liable for losses due to unauthorized access or compromised credentials.
7.2
Blockchain transactions are irreversible, and losses from fraudulent or unauthorized transactions may not be recoverable.
8. Availability Risks
8.1
The Services may experience unplanned outages, network congestion, or maintenance periods, which may prevent you from trading, staking, unstaking, transferring, or accessing subnet tokens or staking rewards.
8.2
Simplytao Inc. does not guarantee continuous availability of the Services or uninterrupted access to staking functionality.
9. Third-Party Risks
9.1
The Services involve third-party providers, including custodians, payment processors, and blockchain validators. You may be subject to their terms and conditions, and Simplytao Inc. is not liable for their actions, failures, or performance issues.
9.2 Validator Risks
For staking services, your tokens are delegated to validator infrastructure determined by SimplyTAO. Validators operate independently and are not controlled by SimplyTAO. Validator-related risks include validator downtime, technical failures, or poor performance resulting in reduced or missed staking rewards, validator protocol violations or security incidents that may result in slashing penalties, changes in validator commission rates that reduce net returns to users, and delays in unstaking or reward distribution due to validator operational issues.
9.3 Validator Liability
SimplyTAO determines where user tokens are staked but has no operational control over validator infrastructure and is not liable for validator failures or issues.
9.4
Third-party services may introduce additional risks, including delays, errors, or security breaches.
10. Regulatory and Legal Risks
10.1
Changes in laws or regulations in Panama or other jurisdictions may adversely affect the use, transfer, value, or legal status of subnet tokens or staking services.
10.2
Simplytao Inc. may suspend or terminate Services, including staking services, in response to regulatory requirements or investigations.
11. Fees and Costs
Fees are outlined at https://simplytao.ai/fees and may be updated at our discretion. You are responsible for understanding how fees impact your returns. For staking services, validator commission rates are deducted from gross staking rewards before distribution to users, and commission rates may change based on network conditions.
12. Currency Fluctuations
Currency exchange rate fluctuations may affect the value of your subnet tokens, staking rewards, or transaction outcomes.
13. Communication Risks
Electronic communications (e.g., email, platform notifications) may be delayed, insecure, or fail to reach their destination. Simplytao Inc. is not liable for communication failures.
14. Staking-Specific Risks
14.1 No Guaranteed Returns
Staking rewards are not guaranteed and depend on validator performance, network conditions, and protocol parameters. Displayed APY estimates are based on historical data and current conditions and do not guarantee future returns. Actual returns may be substantially lower or zero.
14.2 Lock-up and Unbonding
Staked tokens are subject to network-mandated lock-up or unbonding periods during which they cannot be accessed, traded, or transferred. These periods may be extended by protocol changes without notice. During lock-up periods, you cannot respond to market conditions or exit positions.
14.3 Slashing Risk
Validator misconduct or protocol violations may result in slashing penalties that permanently reduce your staked token balance. While SimplyTAO takes care in determining staking arrangements, this risk cannot be eliminated.
14.4 Protocol Changes
The Bittensor network may implement protocol changes, governance decisions, or upgrades that materially affect staking rewards, lock-up periods, validator economics, or token value. Such changes may occur without advance notice or user consent.
14.5 Staking Arrangements
SimplyTAO determines where your tokens are staked in its sole discretion. Operational changes to staking arrangements may temporarily affect staking availability, reward distribution, or require token migrations.
14.6 No Control Over Validators
Validators are independent third parties. SimplyTAO has no operational control over validators and is not responsible for their actions, performance, or failures.
14.7 Opportunity Cost
Staked tokens cannot be used for trading or other purposes during lock-up periods, potentially causing you to miss investment or trading opportunities.
