1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the services provided by Simplytao Inc. (“Company,” “we,” “our,” or “us”), a corporation registered in the Republic of Panama under the laws of Panama. Our services include our website, mobile applications, and platform (collectively, the “Services”) operating within the Bittensor ecosystem for trading subnet tokens and providing staking services.

By accessing or using our Services, you agree to be bound by these Terms, as amended from time to time. If you do not agree with any part of these Terms, you must not access or use the Services.

Restricted Jurisdictions: The Services are not available to persons or entities who are citizens of, located in, incorporated in, or have a registered office in the United States of America, Canada, Hong Kong SAR, the People’s Republic of China, or any jurisdiction subject to sanctions by the United Nations, European Union, or Panama (“Restricted Jurisdictions”). Use of a virtual private network (VPN) or other means to circumvent these restrictions is strictly prohibited.


2. Definitions

“SimplyTAO” refers to the ecosystem comprising SimplyTAO websites (e.g., https://simplytao.ai), mobile applications, clients, applets, and other applications developed to offer SimplyTAO Services, including independently operated platforms within the ecosystem.

“SimplyTAO Operators” means all parties that operate SimplyTAO, including legal persons, unincorporated organizations, and teams responsible for providing Services.

“SimplyTAO Services” means services provided by SimplyTAO based on Internet and blockchain technologies, including subnet token trading, staking services, account management, and related functionalities.

“Subnet Tokens” means digital assets built on the Bittensor blockchain, tradable through the Services.

“Staking” means the process of delegating $TAO or subnet tokens to validators on the Bittensor network to participate in consensus mechanisms and generate rewards.

“Validator” means third-party operators who run validator nodes on the Bittensor network and to whom tokens may be delegated for staking purposes.

“User” means any individual or entity accessing or using the Services.


3. Eligibility and Acceptance

3.1 Eligibility Requirements

You represent and warrant that you are at least 18 years of age and have full legal capacity to enter into these Terms, you are not a resident, citizen, or entity incorporated in a Restricted Jurisdiction, your use of the Services complies with all applicable laws and regulations in your jurisdiction, and you have not been previously suspended or banned from using the Services.

3.2 Acceptance

By registering an account or using the Services, you accept these Terms in their entirety. If you do not meet these eligibility criteria, you must immediately cease using the Services.

3.3 Modifications

We reserve the right to modify these Terms at our sole discretion. Updates will be posted on our website, and continued use of the Services constitutes acceptance of the revised Terms.

3.4 Right of Revocation

Per Panama’s Law No. 45 of 2007, you have the right to revoke your agreement to these Terms within 3 business days from account creation or service initiation, by contacting support@simplytao.ai.


4. Services and User Obligations

4.1 Scope of Services

SimplyTAO provides a platform for trading subnet tokens and staking services within the Bittensor ecosystem.

Trading Services

We facilitate peer-to-peer trading of subnet tokens. We do not act as a principal in buying or selling digital assets but facilitate trading between users.

Staking Services

We provide access to staking services that allow users to delegate their $TAO and subnet tokens to validator infrastructure determined by SimplyTAO in order to generate staking rewards. By using our staking services, you authorize SimplyTAO to delegate your tokens to validators on your behalf.

Users may browse real-time market and transaction information, submit trading and staking instructions, complete transactions, and access account information and utilize platform functions, subject to restrictions based on jurisdiction or account status.

4.2 User Responsibilities

Provide accurate, current, and complete information during account creation and maintain updated information. Safeguard your account credentials and restrict unauthorized access. You are responsible for all activities under your account. Notify Simplytao Inc. immediately of any suspected security breaches or unauthorized access at support@simplytao.ai. Comply with all applicable laws, including tax, AML, and CTF regulations.

4.3 Service Modifications

We may modify the content, type, or form of Services at our discretion without prior notice.

4.4 KYC/AML Compliance

To comply with Panama’s Law No. 23 of 2015, we may require you to provide additional identification or documentation for KYC/AML purposes. Failure to provide such information may result in account suspension or termination.

4.5 Staking Services and Validator Delegation

4.5.1 Delegation Authorization

By depositing $TAO or subnet tokens to your SimplyTAO account and utilizing staking services, you expressly authorize and consent to SimplyTAO delegating your tokens to validator infrastructure determined by SimplyTAO in its sole discretion for the purpose of generating staking rewards.

You acknowledge and agree that SimplyTAO determines where your tokens are staked, you have no direct contractual relationship with validator operators, and all staking-related claims or issues must be directed to SimplyTAO, not to validators directly.

4.5.2 Validator Partnership Disclosure

SimplyTAO utilizes validator infrastructure operated by Yuma Validator, LLC to provide staking services. The staking rewards distributed to you are calculated based on the rewards generated by Yuma’s validator on the Bittensor network, equivalent to what you would receive by delegating directly to Yuma’s validator from a private wallet.

4.5.3 Staking Rewards

Staking rewards are not guaranteed and depend on validator performance, uptime, and compliance with network protocols, Bittensor network protocols and consensus mechanisms, network-wide participation rates and token delegation distribution, subnet-specific reward distribution mechanisms and governance decisions, and market conditions and token economics.

SimplyTAO makes no representations or warranties regarding the amount, timing, frequency, or availability of staking rewards. Rewards may fluctuate significantly or cease entirely due to validator performance issues, network protocol changes, governance decisions, or other factors outside SimplyTAO’s control.

Historical or displayed APY (Annual Percentage Yield) rates are estimates based on past performance and do not guarantee future returns. Actual returns may be substantially lower or zero.

4.5.4 Validator Selection and Changes

SimplyTAO determines where user tokens are staked. You acknowledge that SimplyTAO has sole discretion over staking arrangements and that operational changes may temporarily affect staking availability or reward distribution timing.

4.5.5 Unstaking and Withdrawal

Unstaking periods and withdrawal availability are subject to Bittensor network protocol requirements, including mandatory lock-up or unbonding periods, validator operational schedules and delegation management processes, network consensus mechanisms and epoch timing, and platform operational requirements and liquidity management.

SimplyTAO will process unstaking requests in accordance with network protocols and validator arrangements, but cannot guarantee immediate availability of funds. Unstaking may require waiting periods ranging from hours to days depending on network conditions and protocol requirements.

During unstaking periods, your tokens will not generate rewards and cannot be traded or transferred.

4.5.6 No Investment Advice

Staking services do not constitute investment advice, financial advice, tax advice, legal advice, or recommendations of any kind. You are solely responsible for assessing the risks and suitability of staking activities for your circumstances, understanding the technical and economic mechanisms of the Bittensor network, evaluating validator performance and network conditions, complying with tax reporting and regulatory obligations in your jurisdiction, and making independent decisions regarding staking, unstaking, and asset management.

SimplyTAO does not guarantee any specific returns, outcomes, or performance from staking activities.


5. Fees and Charges

5.1 Fee Schedule

Fees for using the Services are detailed at https://simplytao.ai/fees. We reserve the right to adjust fees at our discretion, with updates posted on our website.

5.1.1 Staking Service Fees

Staking services are provided at no additional direct platform fee to users. Staking rewards are calculated based on the rewards generated by Yuma’s validator on the Bittensor network. The applicable validator commission rate and estimated net APY are displayed in the staking interface prior to staking.

Commission rates and APY estimates are subject to change based on network conditions. Current rates are always displayed in the platform interface.

5.2 Account Termination

Upon termination of your account, you must withdraw all assets within 90 days. A monthly custodian fee of 5% of the remaining assets may be charged thereafter until the balance is zero, at which point the account may be closed.

5.3 Tax Obligations

You are responsible for all taxes arising from your transactions, including staking rewards, and Simplytao Inc. may withhold taxes as required by applicable law, including Panama’s tax regulations.

5.4 Referral Program

SimplyTao Inc. operates a fee-sharing referral program through which eligible users may earn cashback credits by introducing new users to the platform. Program conditions, eligibility requirements, reward tiers, and payout details are available within the “Rewards” section of the platform. SimplyTao Inc. reserves the right to amend, suspend, or terminate the Referral Program at any time at its sole discretion. Any manipulation of the Referral Program, including self-referrals or creation of multiple accounts, constitutes a material breach of these Terms and may result in forfeiture of accrued credits and account termination.


6. Risk Disclosure

6.1 Trading Risks

Subnet token trading involves significant risks, including high price volatility and potential for substantial losses, limited liquidity which may prevent selling or exiting positions at desired prices, technological risks such as hacks, protocol failures, or smart contract vulnerabilities, and regulatory changes that may affect token value, usability, or legal status.

6.2 Validator Performance Risk

Staking rewards depend on validator uptime, performance, technical competence, and compliance with network protocols. Poor validator performance, downtime, or protocol violations may result in significantly reduced or missed rewards.

6.3 Lock-up and Liquidity Risk

Staked tokens are subject to unbonding or lock-up periods during which funds cannot be withdrawn, traded, or transferred. Network protocol changes may extend lock-up periods without notice. During market volatility, inability to access staked funds may result in inability to exit positions or manage risk.

6.4 Slashing Risk

Certain validator misconduct, protocol violations, or network security incidents may result in penalties (“slashing”) that permanently reduce staked token balances. While SimplyTAO takes care in determining staking arrangements, slashing risk cannot be eliminated entirely.

6.5 Protocol and Governance Risk

Changes to Bittensor network protocols, consensus mechanisms, reward distribution formulas, or governance decisions may materially affect staking returns, lock-up periods, validator economics, or token value. Such changes may be implemented without advance notice or user consent.

6.6 Validator Relationship Risk

SimplyTAO delegates tokens to third-party validators over which we have no operational control. Validator operational issues, financial difficulties, regulatory actions, changes in validator commission rates, or termination of validator partnerships may affect staking availability, returns, or require migration of staked tokens.

6.7 Commission Rate Changes

Validator commission rates may increase at the discretion of validator operators, reducing net staking returns to users. Such changes may affect returns or require token migrations.

6.8 Network and Technical Risk

The Bittensor network is experimental technology. Network failures, consensus failures, software bugs, or security vulnerabilities may result in loss of staking rewards, extended lock-up periods, or loss of staked tokens.

6.9 No Guaranteed Returns

Staking rewards are highly variable and not guaranteed. Displayed APY estimates are based on historical data and current network conditions, which may change dramatically. Actual returns may be substantially lower than estimates or zero. Historical returns do not predict future performance.

6.10 Opportunity Cost

Staked tokens cannot be used for trading or other purposes during lock-up periods, potentially causing you to miss other investment or trading opportunities.

6.11 No Investment Advice

Simplytao Inc. does not provide investment, financial, legal, or tax advice. You are solely responsible for assessing the suitability of transactions and staking activities for your individual circumstances.

6.12 Subnet Deregistration

Subnet tokens traded on the platform are subject to the governance mechanisms of the Bittensor network, over which Simplytao Inc. has no control. In the event that a subnet is deregistered from the Bittensor network, holders of the affected subnet token will automatically receive a return in native TAO at the exchange rate prevailing at the time of deregistration. Simplytao Inc. bears no liability for losses arising from subnet deregistration events, including any unfavorable TAO exchange rate at the time of such event.


7. Limitation of Liability

7.1 No Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, merchantability, or non-infringement.

7.2 Exclusion of Damages

To the fullest extent permitted by law, Simplytao Inc. shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to use or inability to use the Services, unauthorized access, data breaches, hacking, or loss of assets, errors, delays, interruptions, or failures in service availability, actions or omissions of third parties including service providers, validators, or blockchain networks, trading losses, investment losses, or opportunity costs, validator performance, downtime, technical failures, or failure to generate expected staking rewards, changes to validator arrangements, commission rates, or staking terms, network protocol changes, governance decisions, or forks affecting staking, lock-up periods, reward distribution, or token economics, slashing events, missed rewards, reduced rewards, or other validator-related issues, delays in unstaking, withdrawal processing, or fund availability due to network protocol requirements or validator operational issues, inability to access staked funds during market volatility or other time-sensitive situations, or inaccurate APY estimates, reward projections, or performance expectations.

This limitation applies regardless of the legal theory on which any claim is based, including breach of contract, tort, negligence, strict liability, or otherwise, and even if Simplytao Inc. has been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of certain damages, Simplytao Inc.’s liability shall be limited to the maximum extent permitted by law.


8. Dispute Resolution

8.1 Governing Law

These Terms are governed by the laws of the Republic of Panama, without regard to conflict of law principles.

8.2 Arbitration

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in Panama City, Panama, under the rules of the Panama Conciliation and Arbitration Center. The arbitration shall be conducted in English, and the arbitrator’s decision shall be final and binding on both parties.

8.3 No Class Action

You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Simplytao Inc.
